*Effective Transfer Dates

The Company's trading week runs from Sunday to Saturday (inclusive). Accordingly, for the purposes of Smiths News's records and final invoice to the outgoing Customer, dates for the transfer / sale of business must only take effect from close of business on any given Saturday. If the agreed date for the transfer / sale of business to the new Customer falls at any other time / day of the week, then in the preparation by Smiths News of any final invoice to the outgoing Customer, the outgoing Customer agrees to remain wholly liable for all Titles supplied to the retail Premises up to the later of the date of the transfer / sale of business or the close of business on the Saturday which immediately follows thereafter. In preparing the final invoice to such date, any Titles, vouchers or other refunds returned for credit by the outgoing Customer and which are expected to arrive at the Company's depot(s) too late to be included in the final week's invoice (e.g. Saturday's unsold newspapers and any magazines with an off-sale date [to be] returned after the final invoice together with any outstanding or in transit voucher or other unsolds credit claims) should be treated as 'stock' and charged by the outgoing Customer to the new Customer.
*Post-Transfer/Sale Adjustments

In light of the above, any vouchers, credits, or refunds (howsoever arising) which are related to, or may be expected to arise or appear on an invoice for, the period after the date of the transfer / sale of business must be treated by the outgoing Customer as 'stock' and charged by the outgoing Customer to the new Customer. The outgoing Customer will have no claim or entitlement whatsoever to any credit amounts applied by Smiths News after the final invoice prepared to the later of the date of transfer / sale of business or the close of business on the Saturday which immediately follows thereafter. Accordingly, any apportionment thereof shall be a matter solely between the outgoing Customer and the new Customer.
